You will be able to upgrade your Dell with Win7 CD, as long as you have windows XP / Vista installed on Dell, the CD and Windows 7 license number.
Always do a full backup before any upgrade just in case and something will go wrong. I just bought "Family Upgrade Pack" from Amazon for $150 and got 3 licenses (will share it with my friends) so it's $50 per license :))
Good deal -
Good Luck with upgrade

Until people receive those free upgrade discs, no one will know for sure if they're tied to a particular manufacturer or not.

If they're like the normal upgrade discs that are for sale separately, you'd be able to upgrade any computer with a prior Windows installation on it but the key will get tied to the first computer on which it's activated.

The Windows 7 upgrade will invalidate the copy of Vista running on your laptop. If you have a copy of, say, Windows XP, and you install it on your laptop, you'll be able to use your 7 upgrade on your desktop. However, Microsoft will know if you're attempting to use both Windows 7 and the Vista it was meant to replace, and it's possible that both copies will become impossible to update.
